Stryker Corporation SMS Terms and Conditions for LIFENET System

1. Purpose. These SMS Terms and Conditions (“Terms”) outline the terms and conditions under which Stryker Corporation (“Stryker”, “we”, “us” or “our”) sends text messages, also known as SMS, to registered users of its LIFENET System (“System”).

2. Opt-In. By providing your mobile number to Stryker as part of enrollment and/or registration in, and/or setup of, the System, or by otherwise affirmatively opting in to receive text messages, such as through online or application-based forms offered by Stryker related to the System, you consent to receive text messages from Stryker, including text messages sent by an automatic telephone dialing system (“ATDS”). These messages may include notifications indicating that new or updated information is available within the System, important updates about the System itself, or other content relevant to your relationship with Stryker. No protected health information is transmitted via SMS.

3. Opt-Out. You can opt-out of receiving SMS messages at any time by replying "STOP", "UNSUBSCRIBE", or "CANCEL" to any message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you cancel from one of our text message programs, you may continue to receive text messages from Stryker through any other program you have joined separately until you separately cancel from those programs.

4. Privacy. Your privacy is important to us. We will not share, sell, or distribute your mobile phone number to third parties without your consent, except as required by law. For more information, please review our privacy policy, available at https://www.stryker.com/us/en/legal/privacy.html.

5. Message and Data Rates; Frequency. Message and data rates may apply. You are responsible for any fees incurred from your mobile service provider. If you have any questions about your text plan or data plan, it is best to contact your mobile service provider. Messages are recurring, and the frequency of those messages may vary. We reserve the right to alter the frequency of messages sent at any time.

6. Carriers. Supported carriers include all major United States carriers including, AT&T, Verizon Wireless, T-Mobile®, Sprint, and others.

7. Your Mobile Number. You agree to maintain accurate, complete, and up-to-date information with Stryker, including, without limitation, notifying Stryker in writing immediately if you change your mobile number, or cease being the regular user of your mobile number. You will not initiate text messages to or send text messages from the mobile number of any other person or entity. You agree to indemnify, defend, and hold harmless Stryker from and against all claims, losses, expenses, damages, judgments, costs, and fees, including reasonable attorneys’ fees, that may be imposed on, incurred by, or asserted against Stryker, in any way relating to, caused by, or arising out of providing Stryker a telephone number that you do not own, or your failure to complete the opt-out process or notify us if you change, transfer, or intend to stop using your telephone number, including, but not limited to, all claims, expenses, damages, fees, and costs related to or arising under the Telephone Consumer Protection Act and related Federal Communications Commission implementing rules.

8. No Liability. Stryker will not be liable for any delays in the receipt of any SMS messages, as delivery is subject to effective transmission from your mobile service provider. Carriers are not liable for delayed or undelivered messages. SMS MESSAGE SERVICES ARE PROVIDED ON AN “AS IS” BASIS, AND WE MAKE NO WARRANTY, EXPRESS OR IMPLIED, AND ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE, ARE HEREBY EXPRESSLY DISCLAIMED. Stryker is not responsible and will not be liable for any other damages of any nature, including any incidental, special or consequential damages (such as lost profits or lost business opportunities), or punitive damages. Stryker reserves the right to terminate the texting service, in whole or in part, at any time without notice.

10. Changes to Terms. Stryker reserves the right to modify these Terms at any time. Any changes will become effective upon posting the updated Terms on this Site. Your continued use of the text messaging services described herein after such changes constitutes your acceptance of the revised Terms. Your sole remedy if you do not agree with the revised Terms is to opt out as provided in these Terms.

11. Applicable Law. These Terms are governed by the laws of the State of Michigan.
